Terms of Service

These Terms of Service govern access to and use of GymBooks, a software service operated by Apex Signature Solutions, LLC ("Apex," "GymBooks," "we," "us," or "our").

By accessing or using GymBooks, you agree to these Terms.

1. GymBooks Service

GymBooks provides software tools designed to assist businesses and accounting professionals with reviewing, categorizing, reconciling, and transferring financial transaction and settlement information between supported systems, including Gymflow and QuickBooks Online.

GymBooks may provide tools for revenue categorization, account mapping, settlement reconciliation, sales-tax information, fee tracking, deposit preparation, review, approval, audit history, and related financial workflows.

2. Human Review Required

GymBooks is designed to support controlled accounting workflows. The software does not replace professional review.

Users are responsible for reviewing all transactions, classifications, mappings, tax amounts, fees, settlement information, and proposed accounting entries before approving or posting information to an accounting platform.

GymBooks does not guarantee that imported or third-party information is complete, accurate, or appropriate for a particular accounting treatment.

3. No Accounting, Tax, Legal, or Financial Advice

GymBooks provides software and workflow tools and does not provide legal, tax, financial, investment, or accounting advice.

Users remain responsible for obtaining appropriate professional advice and for determining the accounting, tax, and legal treatment of their business activity.

4. Accounts and Access

Users must maintain accurate account information and protect their login credentials.

Accounts may be assigned different roles and permissions. Users may access only businesses and locations for which they have been authorized.

You may not attempt to bypass access controls, obtain another user's credentials, access another customer's information, or interfere with the security of the service.

5. Third-Party Services

GymBooks may integrate with third-party platforms, including QuickBooks Online, Gymflow, and payment or infrastructure providers.

Use of third-party services may also be subject to their respective terms and privacy policies.

GymBooks is not responsible for outages, changes, errors, availability, or actions of third-party services outside our reasonable control.

6. Subscriptions and Billing

GymBooks is offered through paid subscription plans.

Current pricing is displayed on the GymBooks Pricing page or within the application.

Subscriptions generally renew automatically until canceled.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by the Paddle Checkout Buyer Terms. Applicable taxes may be calculated and collected during checkout.

Plan upgrades, downgrades, additional-location charges, cancellations, and other subscription changes are subject to the terms displayed at the time of the change.

7. Cancellation

You may cancel a subscription through available billing controls.

Unless otherwise stated, cancellation takes effect at the end of the current paid billing period. Access may continue through the paid-through date.

Canceling a subscription does not delete accounting records or historical business information automatically.

8. Refunds

Refund eligibility is governed by the GymBooks Refund Policy and applicable law.

9. Customer Data

Customers retain ownership of the business information and data they provide to GymBooks.

You grant GymBooks the limited rights necessary to process that information to provide, secure, maintain, and improve the service.

10. Acceptable Use

You may not use GymBooks to:

• violate applicable law;
• access another customer's data without authorization;
• introduce malware or harmful code;
• interfere with the service;
• circumvent security controls;
• misuse third-party integrations; or
• use the service for fraudulent or unlawful financial activity.

11. Availability and Changes

We may update, improve, modify, or discontinue portions of GymBooks.

We aim to maintain reliable service but do not guarantee uninterrupted or error-free availability.

12. Disclaimer of Warranties

To the maximum extent permitted by law, GymBooks is provided on an "as is" and "as available" basis.

We do not warrant that the service will be uninterrupted, error-free, or suitable for every accounting, tax, or business purpose.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Apex Signature Solutions, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of GymBooks.

Users remain responsible for reviewing accounting information before relying upon or posting it.

14. Termination

We may suspend or terminate access for material violations of these Terms, security threats, fraud, unlawful use, or other circumstances reasonably necessary to protect GymBooks, our customers, or third parties.

15. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.
